1.        GENERAL REGULATIONS

1.1. Interregional volunteer organization (IVO) “SVIT-Ukraine” further in the text – the organization “SVIT-Ukraine”) is a non-profit public organization, which is created for popularization, support and development of volunteer movement in the Ukraine.

1.2. The organization “SVIT-Ukraine” is realizing its activities on the principles of:

1.2.1 self-governance;

1.2.2 publicity;

1.2.3 legality;

1.2.4 transparency;

1.2.5 democracy;

1.2.6 broad activism and creative initiative of the members of the organization;

1.2.7 cooperation with bodies of state power and local governance, public organizations in the Ukraine and abroad;

1.2.8 tolerance.

1.3 The organization “SVIT-Ukraine” is operating within the territory of Dnepropetrovsk, Donetsk, Zapozhye, Lugansk and Kharkov regions.

1.4. The organization “SVIT-Ukraine” is a legal body, has its round stamp, which contains its full name in Ukrainian language, and a letter-head; registered logo according to the stated procedure; has its property, its own balance, accounts at the bank institutions, can on its behalf get rights of property and non-property rights, can be plaintiff and respondent in the court, in the economic and arbitrary court.

1.5. Legal address of the organization is Gorbatov St. 85/28, Artemovsk 84500.

2.        THE GOAL AND OBJECTIVES OF THE ORGANIZATION

2.1. The goal of the organization “SVIT-Ukraine” is to support development of volunteer movement in Ukraine to satisfy and protect legal common interests of its members.

2.2. Tasks of the organization are:

2.2.1 popularization, support and development of youth volunteer movement in Ukraine;

2.2.2 promotion of ideas of peace, peaceful conflict-free society and peaceful conflict resolution;

2.2.3 support and development of projects of intercultural youth exchange, which are aimed at international understanding and solidarity;

2.2.4 popularization of ideas of civil society and sustainable development in Ukraine;

organizational support and coordination of work of individuals working in the sphere of volunteering in Ukraine;

2.2.5 development of cooperation between the bodies of state power, non-governmental national and international organizations on the issues related to youth volunteer activities;

2.2.6 organization and carrying out international volunteer and special youth camps in the Ukraine;

2.2.7 drawing attention of the bodies of state power and local self-governance, citizens and public organizations to the  problems of volunteering in the Ukraine and in the world;

2.2.8 creation of resource center on volunteering in the regions, functioning of information network on the issues of volunteering;

2.2.9 distributing information on the issues of volunteering among young people and interested individuals;

2.2.10 involvement of young people to international volunteer projects in the Ukraine and abroad;

2.2.11 realization of educational, ecological, informational, cultural programs, aimed at development of democracy, human rights, sustainable development, peaceful conflict resolution;

2.2.12 organization and carrying out seminars, trainings, conferences, round tables, exhibitions, fairs, study tours on the issues of volunteering;

2.2.13 creating a model of effective cooperation between public organizations;

2.2.14 strengthening possibilities and role of public organizations and individuals in the sphere of volunteering;

2.2.15 preparation and distribution of materials, also printed, on the issues of statutory activities, their support and publication.

3. MEMBERSHIP IN THE ORGANIZATION

3.1. Membership in the organization “SVIT-Ukraine” is recorded, individual and collective, full and associated.

3.2. Full members of the organization “SVIT-Ukraine”  can be individual persons who have achieved 16 years old, independently of nationality, race, religion, sex, political believes, who accept its Statutes, share the goal and objectives of the organization, and have expressed willingness to participate to its activities, and also have paid entrance fee and regularly pay membership fees.

3.3. Associated members of the organization “SVIT-Ukraine”  can be individual persons who have achieved 16 years old, independently of nationality, race, religion, sex, political believes, who accept its Statutes, share the goal and objectives of the organization, and have expressed willingness to participate to its activities, pay membership fees, and also collective members, which meet the conditions of the subparagraph 3.4

3.4. Public organizations legalized or registered according to the legislation of the Ukraine, which accept its Statutes, share the goal and objectives of the organization, and have expressed willingness to participate to its activities, and also have paid entrance fee and regularly pay membership fees, can become collective members of the organization “SVIT-Ukraine”. Collective members of the exercise the rights of associated members.

3.5. Full membership in the organization “SVIT-Ukraine” is voluntary and is acquired by submitting an application to the President. The President is registering the application and submitting it for consideration of the nearest General Assembly. The decision on the adoption of an individual in the full members of the organization “SVIT-Ukraine” is made by the General Assembly or Assembly of representatives with at least 2/3 votes from the total number of full member of the organization “SVIT-Ukraine” or their representatives.  

3.6. Associated membership in the organization “SVIT-Ukraine” is voluntary and is acquired by submitting an application to the President. The President is registering the application and submitting it for consideration of the Coordination Board. The decision on adoption of an individual in the associated members of the organization “SVIT-Ukraine” is made by the Coordination Board with at least ¾ of its elected membership.

3.7 Collective membership in the organization “SVIT-Ukraine” is voluntary and is acquired by submitting an application to the President. The President is registering the application and submitting it for consideration of the Coordination Board. The decision on adoption of a public organization in collective members of the organization “SVIT-Ukraine is made by the Coordination Board with at least ¾ of its elected membership, and is subject of approval by the General Assembly or Assembly of representatives.

3.8. The membership in the organization “SVIT-Ukraine” stops in case of its liquidation, voluntary withdrawal or exclusion, and also in case of death of the individual – member of the organization “SVIT-Ukraine”.

3.8.1. The member of the organization “SVIT-Ukraine” has right to stop membership unimpeded by submitting a request to the Coordination Board.

3.8.2. In case of violation of the Statutes of the organization “SVIT-Ukraine” by the member of the organization, as well as its internal regulations, or activity or inactivity, which cause propriety or reputation damage to the organization or its members, the membership in the organization can be suspended by the decision of the Coordination Board till the next General Assembly or Assembly of representatives.

3.8.3. Excluding from the members of the organization “SVIT-Ukraine” takes place by the decision of the General Assembly or Assembly of representatives by at least 2/3 of all full members or their representatives in cases of:

3.8.3.1 gross or systematic violation of the Statutes of the organization “SVIT-Ukraine”, as well as its internal regulations;

3.8.3.2 systematic non-payment of membership fees;

3.8.3.3 activity or inactivity which cause substantial property damage to the organization;

3.8.3.4 activity or inactivity which cause damage to reputation of the organization or its members;

3.8.3.5 cessation of activities of public organization – member of the organization “SVIT-Ukraine”.

3.9. The order of delegating responsibilities by the public organizations – collective members of the organization “SVIT-Ukraine”, their representatives for participation in the activities of the organization “SVIT-Ukraine” is defined by them independently on the basis of the acting legislation, considering regulations of the Statutes of the member organizations.

4.                  RIGHTS AND RESPONSIBILITIES OF THE MEMBERS OF THE ORGANIZATION

4.1. Full members of the organization “SVIT-Ukraine” have the right to:

4.1.1 participate to the General Assembly or Assembly of representatives with the voting right;

4.1.2 participate to activities of organization, management of its activities, to elect and to be elected in the governing and controlling bodies with the voting right;

4.1.3 use materials and property of the organization “SVIT-Ukraine”, resource center and information network on volunteering in Ukraine;

4.1.4 propose directions of work for the organization “SVIT-Ukraine”  according to its Statutes, principles, aims and objectives of the organization;

4.1.5 initiate Statutes changes of the organization “SVIT-Ukraine”;

4.1.6 present interests of the organization “SVIT-Ukraine” in the Ukraine and abroad by proxy;

4.1.7 receive current information from the President and Executive director about activities and usage of means and property of the organization;

4.1.8 claim calling a special General Assembly with initiative of at least ½ of full members of the organization.

4.2. Associated members of the organization “SVIT-Ukraine”  have right:

4.2.1 to participate to the General Assembly with consultative voice;

4.2.2 to participate to the activities of the organization and its events;

4.2.3 to use materials and property of the organization “SVIT-Ukraine” and information network on volunteering in the within the bounds needed for realization of tasks delegated by the organization “SVIT-Ukraine”;

4.2.4 to make proposals on the directions of activities of the organization “SVIT-Ukraine” according to its Statutes, principles, aims and objectives of the organization.

4.3. Full and associated members of the organization “SVIT-Ukraine” are obliged:

4.3.1 to follow the Statutes and other internal documents of the organization;

4.3.2 to pay in time membership fees according to the order, estimated by the Regulations on Membership Fees;

4.3.3 o participate to the activities of the organization “SVIT-Ukraine”, in the events organised by it, to provide reports about the work to the Coordination Board and\or General Assembly, according to their request;

4.3.4 carefully use the property of the organization “SVIT-Ukraine”, to not damage property and reputation of the organization “SVIT-Ukraine” and\or its members. Damage caused to the property of the organization by its members must be fully reimbursed.

4.3.5 in case of suspended membership in the organization to return property and information materials taken for use in the full scope.

5.                  GOVERNING AND CONTROLLING BODIES OF THE ORGANIZATION “SVIT-UKRAINE”

5.1. The highest governing body of the organization “SVIT-Ukraine” is General Assembly or Assembly of representatives.

5.1.1. The General Assembly or Assembly of representatives has right to solve any issues related to the activities of the organization.

5.1.2. The General Assembly or Assembly of representatives takes place at least once a year. The term is approved by the Coordination Board by the proposal of the President, or independently. Special General Assembly is called by the Coordination Board at request of at least ½ of full members of the organization “SVIT-Ukraine”, Auditor Commission or auditor, Observation Council.

5.1.3. Only the General Assembly or Assembly of representatives can decide issues, related to:

5.1.3.1 adoption of the Statutes of the organization “SVIT-Ukraine”, making changes and amendments to it;

5.1.3.2 approval of decision on liquidation, reorganization of the organization;

5.1.3.3 election and reelection of the President, Vice-president, members of the Coordination Board, Auditor commission and Observation Council;

5.1.3.4 acceptance of new full members and excluding from the members of the organization;

5.1.3.5 defining rate and order of payment of membership fees;

5.1.3.6 approval  of internal Regulations of the organization;

5.1.3.7 approval of annual report about the activities of the organization and usage of resources;

5.1.3.8 approval of financial report and report on the activities of the completed year.

5.1.4. Decisions at the General Assembly or Assembly of representatives are taken by simple majority of those present full members or their representatives and are legitimate in the case when at least 2\3 of the organization members or their representatives are present. Decisions on the issues listed in the subparagraphs   5.1.3.3-5.1.3.8, are adopted, when at least 2\3 of total number of full members or their representatives have voted. Decisions on the issued listed in subparagraphs 5.1.3.1, 5.1.3.2 are adopted, when at least 3\4 of total number of full members of the organization “SVIT-Ukraine” or their representatives have voted.

5.2. In the period between the General Assemblies or Assemblies of representatives management of the organization is executed by the Coordination Board. The Coordination Board is elected at the General Assembly or Assembly of representatives from the full members of the organization for the period of 2 years in the amount of 5 to 9 persons. The President and the Vice-president become members of the Coordination Board due to their position.

5.2.1 Responsibilities of the Coordination Board include:

5.2.1.1 development and adoption of the current work plans of the organization;

5.2.1.2 approval of the work plan and budget for the coming year;

5.2.1.3 preparation of annual plans, reports and strategic plans for approval at the General Assembly or Assembly of Representatives;

5.2.1.4 organization of current activities

5.2.1.5 acceptance of associated members;

5.2.1.6 calling and preparation of the General Assembly or Assembly of representatives and control over fulfilling the decisions taken at the General Assembly or Assembly of representatives;

5.2.1.7 securing preservation of the property of the organization;

5.2.1.8 solving current issues of cooperation with national and foreign organizations, bodies of state power and local self-governance, with the further informing of all members of the organization.

5.2.2 The members of the Coordination Board work honorary as volunteers.

5.2.3 The Coordination Board is meeting in case of need, but not less than at least once a year.

5.2.4 Decisions of the Coordination Board are taken by the majority of votes in case of presence of at least 2/3 of its elected membership. In case of same number of votes, the vote of the President is the deciding one.

5.3. The President of the organization “SVIT-Ukraine” is chairing the meetings of the Coordination Board and is elected from full members of the organization at the General Assembly or Assembly of representatives for the term on 2 years. The President is representing the organization in the relationship with state bodies, public unions, enterprises, institutions, organizations independently from their pattern of ownership. The President is executive managing body, who is accountable to the Coordination Board and the General Assembly or Assembly of representatives of the organization, and is realizing management of all organizational activities of the organization. Upon request of at least ½ of the full members of the organization reelection of the President can be initiated extraordinary.  

5.3.1. The President of the organization “SVIT-Ukraine”:

5.3.1.1 in case of absence in the organization “SVIT-Ukraine” executive director  fulfills his/her responsibilities;

5.3.1.2 represents the organizations to the third side, bodies of state power, local-self-governance and court bodies;

5.3.1.3 registers and submits to the General Assembly or Assembly of representatives requests to become full member of the organization;

5.3.1.4 registers and submits to the Coordination Board requests to become associated or collective members of the organization;

5.3.1.5 makes proposals to the Coordination Board to suspend membership in the organization in cases of violation of the Statutes of the organization “SVIT-Ukraine” by its member, as well as its internal regulations, activities or behavior, which causes property or non-property damage to the organization and\or its members;

5.3.1.6 prepares submission to the Coordination Board and for the General Assembly or Assembly of representatives issues on cessation of membership in the cases, mentioned in the subparagraph 3.8.3;

5.3.1.7 exercises keeping documentation of the organization, maintains coordination of activities among members, as well as congruence of prepared documents.

5.4 In case of absence of the President its functions are fulfilled by the Vice-president.

5.5. The Coordination Board can hire an executive director for operative management of the organization “SVIT-Ukraine”. Executive director realizes his/her functions on the conditions of contract, which is made with him/her by the Coordination Board. Executive director cannot be member of the organization “SVIT-Ukraine”.

5.5.1 The executive director:

5.5.1.1 ensures economic-financial activities of the organization “SVIT-Ukraine”;

5.5.1.2 exercises operative management of the activities of the organization “SVIT-Ukraine”;

5.5.1.3 hires and discharges paid staff members;

5.5.1.4 exercises management of the activities of the organization in the periods between General Assembly and meetings of the Coordination Board;

5.5.1.5. organizes fulfillment of decisions of the General Assembly and Coordination Board;

5.5.1.6 organized personal reception of citizens, consideration of appeals of citizens;

5.5.1.7 exercises keeping financial documentation of the organization;

5.5.1.8 fulfills functions, delegated by the Coordination Board;

5.5.1.9 ensures preparation of budget for the next year;

5.5.1.10 takes part to the meetings of the Coordination Board without the voting right;

5.5.1.11 reports on the meetings of the Coordination Board on the work of executive administration.

5.5.2. Executive director has full liability to the organization “SVIT-Ukraine”.

5.6. For control of financial-economic activities of the organization “SVIT-Ukraine” the Auditor commission is elected from the full members, in the membership of three people. If the number of full members is less than 10, the functions of the Auditor commission are fulfilled by the Auditor. The President, the Vice-president, members of the Coordination Board cannot be elected to the Auditor commission. The term of office of the Auditor commission is two years. The Auditor commission has right to conduct inspections of financial-economic activities and financial documentation of the organization at least once a year. Upon its request the President, the Vice-president, Coordination Board is obliged to provide necessary documentation for inspection. The deeds of inspections are subject of approval of the General Assembly or Assembly of representatives. The proposals of the Auditor commission are reviewed at the next in tern General Assembly or Assembly of representatives. In case of revelation of financial infringements the Auditor commission has the right to call a special General Assembly or Assembly of representatives.

5.7. The Observation Council of the organization “SVIT-Ukraine” is consultative-observation body, which is formed by the General Assembly or Assembly of representatives of the organization to monitor and control the work of the governing bodies of the organization in the case, when number of members makes more than 20 people. The Observation Council can be formed from the members of the organization “SVIT-Ukraine”, as well as from individuals who are not members of the organization. The number of members of the Observation Council should not exceed 7. The Observation Council meets in case of need.

5.7.1 Exclusive authority of the Observation Council includes:

5.7.1.1 preliminary review of the issues included in the agenda of the General Assembly or Assembly of representatives and preparation of recommendations for  the General Assembly or Assembly of representatives on these issues;

5.7.1.2 providing recommendations on the perspectives and directions of work of the organization;

5.7.1.3 control and evaluation of the work of the President and Coordination Board on following the Statutes, goal and objectives of the organization, preparation of evaluation of their work for the General Assembly or Assembly of representatives;

5.7.1.4 calling a special the General Assembly or Assembly of representatives in case of revealing violations of the Statutes, internal regulations or abuse of its position by the President or Coordination Board;

5.7.1.5 prepare report with evaluation of their work for the General Assembly or Assembly of representatives.

6. ECONOMIC ACTIVITIES

6.1. Sources of activity of the organization “SVIT-Ukraine” are finances and property, received as membership fees, means from voluntary contributions from citizens, enterprises, organizations – residents, as well as non-residents of Ukraine, other subsidies, including state ones, grants, charitable and target aid from foreign and international foundations and organizations, as well as other funds received according to the law. 

6.2. Property of the organization “SVIT-Ukraine” can include: houses, installations, objects of housing resources, equipment, inventories, transportation vehicles, property of cultural-educational and health function, cash assets, stock, other securities and other property, necessary for financial provision of the activities.

6.3. The organization “SVIT-Ukraine” is fully liable only for the obligations of the organization, and is not liable for the obligations of its members.

6.4. The members of the organization “SVIT-Ukraine” are only liable for their obligations, and are not liable for the obligations of the organization “SVIT-Ukraine”.

6.5. The organization “SVIT-Ukraine” has right to execute production-economic, financial activities and create, with the aim to fulfill Statutory aims, enterprises and economic organizations, which have the rights of legal bodies.

7.                  THE ORDER OF MODIFICATIONS AND AMENDMENTS TO THE STATUTES

7.1. Modifications and amendments to the Statutes are made on the basis of the decision of the General Assembly or Assembly of representatives, in case when at least ¾ of full members or their representatives have voted for it.

7.2. Registration of modifications and amendments is realized in the order prescribed by the legislation of the Ukraine.

8. THEORDEROFCESSATIONOFTHEORGANIZATIONS ACTIVITIES AND SOLVING PROPERTY ISSUES RELATED TO ITS LIQUIDATION

8.1. Cessation of the activities of the organization “SVIT-Ukraine” is done though reorganization or liquidation.

8.2. Reorganization of the organization “SVIT-Ukraine” can take place due to decision of the General Assembly or Assembly of representatives, adopted by at least ¾ of full members of the organization “SVIT-Ukraine” or their representatives.

8.3. Liquidation of the organization “SVIT-Ukraine” can take place by the decision of the General Assembly or Assembly of representatives (the order of self-liquidation) or by the decision of the court (forced liquidation).

8.4. Finances, and also other property of the organization “SVIT-Ukraine”, in case of its liquidation, is used for fulfilling its statutory objectives, and is not to be divided among its members.
